一场旨在重塑干散货板块格局的收购博弈,再度出现关键转折。Diana Shipping宣布,已面向Genco Shipping股东发起要约收购。这也是这场持续五个月、至今仍未显现解决迹象的控制权争夺战的最新进展。 Diana此次要约,旨在收购其尚未持有的Genco股份。此前,在市场对其融资能力提出质疑后,公司已上调整体估值。两家公司体量相近,一旦完成整合,合计船队规模有望达到80艘甚至更多,形成干散货市场的重要运力平台。尽管双方均认可当前市场处于有利周期窗口,但围绕合并估值始终未展开实质性直接谈判。 Diana首席执行官Semiramis Paliou表示,过去五个月公司一直试图与Genco董事会就交易展开沟通,希望在资产价格处于周期高位之际,为Genco股东提供具确定性且具溢价的退出方案。但Genco董事会始终拒绝接触——既未安排会议,也未进行电话沟通,对提交的合并协议亦未作出回应。因此,Diana决定绕开董事会,直接向Genco股东发出要约。 本次要约价格与今年3月提交给Genco董事会的方案一致,即每股23.50美元现金。在最新修订方案中,Diana进一步披露了已落实的融资安排,并表示,一旦交易完成,已与Star Bulk Carriers达成协议,将出售Genco旗下16艘船舶,总价约4.705亿美元,以增强交易可执行性。 不过,Genco董事会态度依旧强硬,并在最新声明中重申该要约“明显低估公司价值”。董事会指出,要约价格未作调整,此前已明确拒绝相关方案,认为其未能充分反映公司内在价值。经过审议,两轮要约均被一致否决。Genco方面甚至一度表态,其资产负债表更为稳健,理论上应由其发起对Diana的收购。 在估值层面,Genco董事会援引卖方分析师数据称,公司当前平均NAV估值为25.80美元/股,中位数为26.50美元/股,且行业资产价格仍处于上行通道。对此,Diana反驳称,其要约较当前股价提供约31%的溢价,且基于Genco披露的船队估值,对应约1倍NAV(净资产价值),具备合理性。 此次要约也是Diana推动交易落地的一系列策略动作之一。在此前遭到Genco拒绝后,Diana已通过公开市场累计买入约14.8%的Genco股份,并进一步提出改组董事会方案,计划在年度股东大会上提交新的董事候选人名单。目前,Genco尚未确定股东大会具体召开时间。 根据安排,本次要约将持续至6月2日。Genco董事会已建议股东暂不采取行动,并表示将在10天内完成评估并给出正式回应。
