The maritime-port group Grendi, through Grendi Trasporti Marittimi Spa, has acquired 70% of the share capital of Dario Perioli Spa, a La Spezia-based operator with specialized and complementary services, with particular attention to freight connections with Algeria and North Africa. The remaining 30% will remain with Michele Giromini, through the fully-controlled company Fingiro Srl, who also retains the role of chief executive officer. The closing took place today after several months of negotiation between Grendi Trasporti Marittimi on one side and the exiting shareholders, Sar.Fin Srl and Finanziaria GB Srl, and Fingiro Srl on the other.
Dario Perioli, founded in 1908 in La Spezia, with a turnover of 30 million euros, now boasts 600 clients and about 100 employees and a range of services that complement maritime transport for France, Spain, Algeria, Morocco, and Tunisia.
Grendi highlighted that the integration with Dario Perioli, which will continue to operate with its own identity and operational autonomy, gives rise to an Italian operational platform capable of efficiently and sustainably overseeing commercial flows between Europe and North Africa, thanks to a network of intermodal services, port terminals, maritime connections, and integrated customs expertise, and is an operation that lays the groundwork for the creation of a competitive Italian logistics group at a European level, strengthening the position in Mediterranean traffic and supporting Italy’s strategic role in international logistics corridors. Furthermore, the MDC Terminal of the Dario Perioli group in the port of Marina di Carrara, together with Grendi’s container terminal in the same port, complete an integrated service model for the handling of goods between Italy and North Africa and make Marina di Carrara a hub for the entire Mediterranean for the loading and unloading of any type of goods in import and export.

The complementarity of the services of the two entities is also enhanced, with tangible and immediate industrial synergies. The Dario Perioli group’s experience in traditional and bulk cargo transport pairs well with the containerized transport of our group, which today operates with a fleet of four ships. It is an example of effective integration in the Marina di Carrara-La Spezia port system that brings together history, perspectives, and a desire to grow and aims for an entity with 150 million euros in turnover and about 350 people.”

For the operation, Grendi Trasporti Marittimi was
assisted by lawyers Riccardo Salvini and Valeria Pelà of
SCPT Studio Legale, by Alessandro Elmetti, Alessandro Motta,

Mazars and Antonio D’Oca, Antonella D’Oca and Stefano Bonci for Studio
D’Oca, supported by an internal team consisting of CFO Sabrina
Passione, Federico Berruti and Euan Lonmon, while Sar.Fin.,
Finanziaria GB and Fingiro, were assisted by lawyers
Gabriele Ramponi and Francesca Ruggiero of Gianni & Origoni, by
Claudio Scardovi and Mario Ciunfrini, respectively senior partner and
director of Deloitte, and by Matteo Dotti for Elimat in collaboration
with the corporate team coordinated by the general manager Andrea Scarparo
and by CFO Gianluca Fadda. The notary who oversaw the operation is
Riccardo Dogliotti of Genoa.
