Coeclerici strengthens with a capital increase of 15 million

The equity structure of Coeclerici, a historic name in Genoese shipping, today mainly active in raw materials trading and high-tech industrial mechanics, is being strengthened and consolidated.

Last July 22, in fact, the company’s extraordinary shareholders’ meeting resolved a paid share capital increase of 15 million euros, raising share capital from 10 to 25 million euros through the issuance of 15 million new shares, offered for subscription and subscribed by the sole shareholder Fincler srl, the holding company of the Clerici family. At the same time, the group also finalized a bank loan of 31 million euros, granted by a pool of Italian credit institutions and aimed at optimizing the financial structure.

In the transaction, Equita Debt Advisory acted as financial advisor to Coeclerici, while Gianni&Origoni assisted the group on legal matters. The pool of lending banks was instead assisted by Giliberti Triscornia e Associati. Neither the names of the institutions involved nor the details of the loan structure were disclosed.

Founded in 1895 by Henry Coe and Alfonso Clerici, Coeclerici is one of the oldest Italian entrepreneurial groups still controlled by the founding family. Born as an operator in maritime trade and international raw materials trading, over recent years it has progressively diversified its business model, adding to its historic commodities core business an industrial platform with high technological content.

The main driver of this transformation is Ims Technologies, acquired in 2016 and over time become the group’s second pillar. The company, also through a growth-by-acquisition strategy, has become one of the world’s leading operators in the design and construction of high-tech machinery for converting, packaging, tissue, and the processing of plastic films, aluminum, and flexible materials.

The latest consolidated financial statements (2024) closed with 648.9 million euros in net revenues, EBITDA of 3.4 million, and a loss of 40.4 million, against net financial debt of 38 million and equity of 24.4 million. The evolution of the equity structure comes just over a year after the change in the group’s governance. In June 2025, Andrea Clavarino, a manager who grew up within Coeclerici with over thirty years of experience, was appointed chief executive officer of the group, while Paolo Clerici retained the chairmanship, focusing on strategic direction. A few months later, Ims Technologies also began a new phase of managerial development with the appointment of Ivo Conti as chief executive officer.
