On October 31, Shanghai Zhonggu Logistics Co., Ltd. (abbreviated as “Zhonggu Logistics”, 603565) issued an announcement regarding the adjustment of company directors, electing Li Yonghua as the company’s Chairman of the Board.

The announcement stated that due to strategic adjustments of the company, Zhou Bin no longer holds the positions of Chairman of Zhonggu Logistics and related roles on the board’s special committees, and he has been assigned to other duties.

During his tenure, Zhou Bin was dedicated and diligent in his duties. Zhonggu Logistics and the Board of Directors expressed their sincere gratitude for his diligent work and contributions to the company’s development during his term.

According to the company’s production and operational needs, Zhonggu Logistics elected Li Yonghua as the company’s Chairman of the Board. Concurrently, he was elected to serve as the Chairman of the Board’s Strategy Committee, a member of the Audit Committee, and a member of the Compensation and Evaluation Committee. His term is consistent with the current board’s tenure.

Furthermore, in accordance with the “Company Law,” the “Company Articles of Association,” and other relevant regulations, and following review by the company’s Nomination Committee, the Board of Directors of Zhonggu Logistics nominated Lu Changwei as a candidate for non-independent director of the company’s Fourth Board of Directors. His term will last from the date of approval by the shareholders’ meeting until the expiration of the current board’s term. The matter of electing a replacement director still needs to be submitted to the company’s shareholders’ meeting for review.

Li Yonghua, male, born in October 1969, Chinese nationality, no permanent residency abroad, holds a master’s degree, and has the professional title of Senior Logistics Engineer.

From 1989 to 2000, he served successively as Third Officer, Second Officer, and Chief Officer at Shandong Province Yantai International Shipping Company; from 2001 to 2007, he served successively as Deputy Director, Director, and Deputy General Manager of the office of Yanhai Container Liner Co., Ltd.; from 2007 to 2010, he served as Regional General Manager of Zhonggu Group; from March 2010 to October 2022, he served as General Manager of the South China Region and Southwest Region of Zhonggu Logistics; from May 2018 to October 2022, he served as Deputy General Manager of Zhonggu Logistics; from September 2015 to present, he has served as a Director of Zhonggu Logistics; from October 2022 to present, he has served as General Manager of Zhonggu Logistics.

Lu Changwei, male, born in February 1994, Chinese nationality, holds a master’s degree, and is a member of the Communist Party of China.

He began working at Zhonggu Logistics in January 2017, serving successively as Supervisor in the South China Region, Supervisor in the Headquarters Shipping Department, Director of the Taizhou Office in the Yangtze Region, Deputy Director of the Shanghai Office in the East China Region, and Assistant General Manager of the East China Region. Since January 2025, he has served as the Head of the East China Region of Zhonggu Logistics.
